Mergers and acquisitions (M&A) are important growth strategies for companies, especially when they seek to expand their business, acquire new resources, or enter new markets.

But how do these transactions work, and what factors should be considered before getting involved in one?

In this series of articles, we will explain what you need to know about mergers and acquisitions.

A merger occurs when two or more companies combine to form a new company.

An acquisition occurs when one company purchases shares of another company, becoming its majority owner.

Both strategies aim to increase efficiency, diversify the business, and expand market presence.

Why do companies pursue mergers and acquisitions?

There are several reasons why companies may decide on a merger or acquisition, including:

Access to new markets: acquiring an established company in a foreign market can help expand a company's business and increase its global presence.

Diversification: acquiring a company in a different sector can help diversify the acquiring company's business portfolio and mitigate risk.

Access to new resources: merging with or acquiring a company that has complementary resources, such as technology, brand, or talent, can help increase the acquiring company's efficiency.

Economies of scale: merging two companies can result in economies of scale, such as cost reduction through the combination of resources.

The key is to establish very clear criteria for the M&A move, with the goal of conducting business screening that fully aligns with the strategy defined, whether for buying or selling the operation.
